The General Counsel's office advises the Trustees and University Administration on legal issues and serves as the point of contact on all legal matters involving the University. Job SummaryThe VPGC serves as the chief legal officer of Indiana University and a member of the President's senior management team. The VPGC represents and directs the representation of Indiana University in all legal matters; serves as legal advisor to the President, Board of Trustees, and senior administrators, and serves as a resource on legal matters and issues of institutional procedure and governance. Reporting directly to the President, the VPGC oversees all legal aspects of transactional and regulatory matters related to the University, including directing associate counsels employed by the University and outside counsel retained to represent the University. The VPGC also supervises certain functional offices assigned by the President, including Internal Audit, Institutional Equity & Title IX, and University Compliance. General Responsibilities:

  • Responsible for providing legal representation, advice, counsel, and opinions in all areas of law affecting the University, including corporate, student, and faculty affairs, academic programs, promotion and tenure, intercollegiate athletics, research compliance, trademark licensing, intellectual property, technology transfer, international agreements, regulatory compliance, privacy law, real estate, open records, all aspects of employment law, important legal documents and agreements, and University policies and procedures.
  • Oversees all legal matters and coordinates litigation and administrative procedural actions involving external agencies and complainants.
  • Provides legal oversight of issues related to higher education, risk management, and university contracts, agreements, and related matters; provides advice and representation concerning the University's participation in joint ventures with other universities, healthcare enterprises (including IU Health), business entities, non-profits, or governmental organizations in the United States or abroad.
  • Brings legal issues and concerns to the attention of senior administration and assists in developing related University policies.
  • Participates in discussions of institutional strategy and policy as a member of the President's cabinet.
  • Attends Board of Trustee meetings and serves as Attorney to the Board in legal matters.
  • Provides counsel and advice concerning compliance with federal and state statutes and regulations affecting institutions of higher education, including teaching, research, and clinical services at a multi-campus university.
  • Acts as a resource on the interpretation of existing or proposed local, state, or federal laws and regulations.
  • Provides legal representation, advice, and opinions in monitoring and resolving disputes that may lead to litigation.
  • Arranges and supervises outside attorneys who provide legal advice or representation in areas of special expertise or in litigation.
  • Maintains a current knowledge of legal issues of importance to the University through participation in continuing legal education and membership in appropriate bar and professional associations.
  • Assists as needed with the University responses to external requests for information, reporting, complaints, or citations from external governmental or non-governmental organizations.
  • Oversees requests for documents under Indiana open records laws and regulations.
  • Directs operations in the General Counsel's office, including supervising a team of associate counsels located at multiple campus locations. Also supervises the University Director of Institutional Equity & Title IX, the Associate Vice President and Chief Audit Officer, and the Chief Compliance Officer.
  • Performs other duties as assigned by the President. QualificationsTo fill this position, the University seeks an individual with exceptional personal attributes, including unassailable integrity, sound judgment, excellent communication skills, ability to articulate and pursue a bold vision, a deep commitment to diversity in all aspects, demonstrated energy and work ethic, and great enthusiasm and the ability to inspire it in others. A distinguished professional record is also a requirement for the position, including:
    • Juris Doctorate degree from a law school approved for accreditation by the American Bar Association, a member in good standing of the Bar of the supreme court of the state in which he or she practices law, and the prompt eligibility for such license and standing in Indiana.
    • An extensive record of legal practice experience in a relevant area, having attained a senior position of responsibility in a university, firm, corporation, government agency, or other organization. Senior level experience at a large educational, non-profit, for-profit, or governmental organization, or equivalent role as outside counsel, is preferred.
    • Significant experience in supervising the work of other lawyers or professionals.
    • Significant experience in higher education legal matters or representation of colleges or universities.
    • Record of exercising excellent judgment on behalf of clients including large and complex organizations and issues.
    • Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality.
    • Excellent written and oral communications skills in public and private settings with diverse audiences; ability to translate complex legal issues for a lay audience.
    • Strong leadership and interpersonal skills, able to collaborate with a diverse population, and ability to relate well with Trustees, senior administrators, student, faculty, staff, government officials, and external audiences.
    • Ready availability at all times to the president and senior administrators in case of emergency.
    • Ability to travel statewide on a regular basis and occasionally outside of the state. A sense of urgency and responsiveness in dealing with clients, and an ability to handle multiple tasks in a timely manner.
